Corp A its shares are 100% owned by corp B.
Who in corp B can vote in Corp A using the corp A shares?
CEOs? Directors? Accountants? Factory Managers? Anyone? 51% shareholders? 5% holders? --- HillAnt corp website for entrepeneurs |

Corp B has all of Corp A's shares?
Noone in Corp B can vote on anything that Corp A proposes to vote for.
However, Corp A can't actually vote on anything anyway (no shares). I don't think they can even create more shares for themselves, without a vote.
All that Corp B would be able to do (assuming Corp A could actually vote for anything) would be to view the results of votes. (Any shareholder can do that - even a single share)

If you got more then 5% shares you can vote. But only the CEO can start that vote. To run for CEO you need to be member of that corp and have at least 5% shares.
But that doesnt really mean much as you can move shares around as needed. So you can lose CEO rights any time.

Even if that 5% shareholder is not a member of the corp that is voting? (In this case, Corp A) |

Unless something has changed, that 5% isn't true. I have way less than 5% of the shares in my corp and I get asked to vote all the time, usually for locking/unlocking BPOs.

Yes, anyone with shares can vote. I have stock in several companies for investment purposes, and obviously I'm not a member of them. I still get to vote.
And I've never heard of this 5% thing before. Sounds wrong to me.
