I cannot find info on this and I've searched.
What is the maximum number of shares that can be created by vote? Is there a max?
Backstory - Evil Scheming
My friends founded a corp and dispersed the shares evenly among the directors to form a voting council. Three total. All was fine in fuzzy land until one of the directors used his shares to create more shares and took those for himself. He now has the clear majority of shares.
I'm pretty sure that no one was around when he did this so the first surprise was that shares could be created with a minority of the vote. Now he is holding this powa over our heads and threatening to take CEO if we displease him.
Questions:
WTF, someone with minority shares can create more shares and take them for himself when the others go out of town for the weekend?
Can I create some MAX number of shares so that more shares cannot be sniped like this? Ya know when HE goes out of town... |

If nobody else is around to cast their vote, then, yeah, he can do whatever he wants. The max number of shares you can create with a single vote seems to be 10m. I dunno if it's possible to create more than that afterwards.
Wait 'til the dude's flying around in something shiny and then have your corpmates drop on him. Ransom his ship for the shares.

Yes someone with the minority shares can create a vote and win it if nobody else votes. All non votes are counted as abstains. So the outcome of the vote is a straight majority of those few that were actually cast one way or the other.
A player cannot vote himself into the CEO position if he is not actually in the Corp. If you absolutely trust every other member in corp (that means there are only the original 3 of you and their alts) boot him and his alts from Corp before he acts on his threat. Then give him the option of returning the shares in exchange for his re-entry as a non director with no shares. Whether you honour that or not is up to you.
Write off any corp assets that he has already taking control of.
If there are other players in the Corp you're not absolutely sure about, that he could vote into the CEO position instead, your best bet is to clean out the corp wallet and assets, start a new corp and then mail all members, explaining the situation to them and telling them to apply to the new Corp.
It is a painful waste of time and effort trying to play catch up by voting and taking control of more shares when he isn't around to veto the vote. You'll never be able to log off for more than 24 hours at a time without the fear that he is doing the same thing again. |

And THIS is why you don't use shares to vote about stuff.
You can use a internet form like google documents, you can use a mailing list, use a forum poll or what ever you like, all perfectly doable and much more safe then using shares.

I agree with what Major Trant said. Either boot him from the corp or grab everything that's not bolted down and form another corp instead. And in the future, don't use corp shares for voting, use something OOG or even the new corp forums (with a medium or small corp you can simply do a "show of hands" thread). |
