Currently running Eve on vista ultimate 32bits - but got access to a 64bit vista ultimate too.
Wondering if there's any point in doing that (mostly for playing Eve).
Specs on cpu:
Intel Core Duo E8500 (3.16GHz) 4GB RAM NVidia GeForce GTX 260 (896MB RAM)
Been searching on the net - but finding conflicting info: Some says vista 32bit can only use 4GB RAM (minus 896MB from graphic card), some say it can use it all...
Soo - opinions please. Would it be worth the effort to upgrade to the 64bit ultimate edition?

For the average gaming pc-owner, there's not much in upgrading to Vista 64-bit. I did, just because I'm that kind of person that, on occasion, like to tweak stuff and try "what-if"-scenarios (and in that case, I'd propably should have used a virtual machine instead).
The amount of RAM Vista 32-bit can use is 4 Gb. Minus the ammount reserverd for drivers and such, so you ususally end up with around 3.12 Gb RAM for programs.
Microsofts own knowledgebase on the issue
I run EVE on my 8 Gb RAM Vista 64-bit system with 2 clients, web-browser with multiple tabs, Winamp, Steam and maybe some more, and usually end up using 2 - 2.5 Gb RAM. I did use Vista 32-bit earlier, and maybe I'm biased, but in certain situations Vista 64-bit seems more responsive.

Another thing to be aware of is potential driver issues. A site like http://www.start64.com/ can prove invaluable.
I can heartily recommend the "all in one" codecs as it can save hours trying to find the right one to play particular movies

True, and I forgot about the most obviuos issue - check that there is 64-bit drivers for all of your attached gizmos (printer, scanner, joystick, the likes).

upgrade to vista 64bit
your processor will be able to take advantage of vista's 64bit instruction set.. not to mention being able to take advantage of multiple cores..

What do you mean? Vista 32-bit and other operating systems can use multiple CPU cores.
