warheads upgrade lvl 5 or rapid launch lvl 5 ??

u figure it out.. ^^ :)
id do the rapid launch first, then the warhead upgrade :)
but thats just me..

Rapid Launch = Better DPS
Warhead Upgrades = Better burst damage
Most times DPS is better, and getting an extra volley hit with greater probability is an advantage in itself aswell, but in some situations a burst damage can be more advantageous. Not many, but for example for the Phoenix I would rather have the warhead upgrades, due to an insanely high ROF. Another example is "sniping" small targets from afar. Higher damage will increase your chance of one salvo popping them.
In the end I think I would choose the ROF aswell, though, but I just wanted to argue that it's not black and white.

(1 - 0.97 ^ 5) is about the same as (1.02 ^ 5 - 1)

the only problem of rapid launch is that.... you will run out off ammo faster

If both take you 8 more days, then you've obviously put a lot of training already into warhead upgrades.
That time spent would mean you'd already have had rapid launch 5 if you had started it previously.
But to answer the question, yeah I'd get rapid launch 5 first (I have it, but not warhead upgrades)

hmmmm 8 days for a rank 5 skill to level 5.

means that your perception and willpower is about 60.
Otherwise you have already done a lot of training in warhead upgrades, so it is probably best to finish that off. And if you mean weapon upgrades (which is rank2) then depends on if you have troubles fitting everything on your ship with cpu restraints then definitely do wepon upgrades first, plus then you can train advanced weapon upgrades.
