About Project 1.5
Project 1.5 is a small multi-purpose corporation run by Mensageiro Cai.
Mensageiro Cai has a small presence in the T2 component construction market, run out of a system in close proximity to Jita with factory slots, and has the ability to operate Freighter-class vessels and Transportation Ships for low security space hauling. Mensageiro Cai also has access to Mining Barge class vessels to supplement income via mining in high security space. All of these benefits will be transferred to Project 1.5 upon launch of the IPO.
Info: The T2 components have a conservative mark-up of approximately 6% per item, and this market is considered reasonably stable, and will only be enhanced by the recent addition of new T2 ships.
Current Project 1.5 Assets
Mensageiro Cai currently owns 4 unresearched T2 component BPOÆs, and one T1 BPO. The T1 BPO is sparsely used, but can yield profits of 200% per item at peak times dependent on supply and demand of the item and the required minerals. Mensageiro Cai also owns a Bestower Class industrial ship and a T2 variant for low security transport. None of these assets will be included in the value of Project 1.5. These assets are personal donations to the corporation; however should any replacement vessel or print be required this will be paid for in full by Project 1.5 and will subsequently become an asset of Project 1.5, and will therefore be included in the value of Project 1.5.
Outline of Initial Public Offering (IPO)
Total Number of Corporation Shares: 1,000
Number of Available Shares: 1,000
Target Capital: 1,500,000,000.00ISK (1.5 Billion ISK)
Share Price: 1,500,000.00ISK (1.5 Million ISK)
Dividend Frequency: Once per calendar month
Projected Dividend: 10% ROI, issued monthly (150 Thousand ISK Per Share)
Details of Share Sale
A total of 1,000 shares in Project 1.5 will be made available by Mensageiro Cai, totalling 1,500,000,000.00ISK (1.5 Billion ISK). Shares will be made available in blocks of 10 shares, making the minimum purchase 15,000,000.00ISK (15 Million ISK). There is an upper limit of 400 shares per investor, as I would prefer not to have a single investor.
All 1,000 shares belong to Project 1.5 at present.
Mensageiro Cai has reserved 100 shares to act as a salary mechanism. This may be increased to a maximum of 200 shares depending on interest in the venture. Please see ôSalary Mechanismö section for further details.
Upon transferring shares to the investor Project 1.5 is no longer responsible for the volume of shares held by each individual. Investors are therefore free to trade said shares on the open market, and are actively encouraged to do so. Please see ôMethods of Share Tradeö section for further details.
Shares will go on sale at 01:00 EVE time on Sunday 16th December. No reservations can be made prior to this time.
To purchase the shares you must post in this thread with the character that the shares are to be sent to, and state the number of shares and their equivalent ISK value for confirmation. The sum of ISK must then be transferred to Mensageiro Cai, and not Project 1.5. The transfer of funds should also have a description attached, stating how many shares are being purchased.
The number of remaining shares will be updated periodically in this thread.
Details of Cycle Definition
One Cycle consists of a period of one calendar month. Each new cycle will begin on the 1st of the month.
As the IPO is launching on the 16th, dividends paid at the start of January will equal 5% so that the cycle timing is not affected by the launch date.

Details of Dividend Schedule
Dividends will be paid within 24 hours of a Cycle close, barring unforeseeable circumstances which include server maintenance, computer failure, illness and any other event deemed of high importance. Dividends to be paid at the start of January may be paid as late as the 3rd due to family commitments, but every effort will be made to pay them on the 1st.
Dividends for a full cycle will be paid out at 10% of the initial investment, resulting in a theoretical unbounded level of reinvestment per cycle.
Details of Dividend Review
The 10% dividend is based on a combination of current activities. As market capitalisation will increase I cannot accurately project profits. However, 10% is a sum I can guarantee and is a generous return in comparison to other available investment opportunities.
The 10% is fixed for an initial 3 month period, after which time a vote will be passed to either switch to a dividend based on a certain percentage of profit, or to adjust the 10% level, or to form some sort of hybrid û guaranteeing a certain percent but also paying more than this value if suitably high profits are attained.
Details of Profit Retention
From each Cycle all profit above the 10% paid out as a dividend will be retained within Project 1.5.
Salary Mechanism
There are two possibilities regarding salary. If Mensageiro Cai secures a 20% stake (200 shares) in Project 1.5 then there will be no additional salary beyond the standard dividend payment. If, however, only a 10% stake (100 shares) is secured, the salary will be equal to the dividend payment on 10% of the shares plus an additional 15,000,000.00ISK. I have deemed a salary of 30,000,000.00ISK to be of a suitable level for the level of work required during the initial 3-month period. A salary review will occur after the initial 3-month period.
Details of Share Buyback Scheme
Project 1.5 will operate a share buy-back scheme directly through Mensageiro Cai. After an initial 3-month period, Mensageiro Cai will offer 90% of the current NAV / Share per share in circulation û liquid ISK permitting. The current NAV / Share will be taken from the last Cycle to close, and will not include any transactions completed during the current Cycle.
The share buy-back procedure will be a standard ôEVE-Mail of intent to sellö and the transfer of shares to Project 1.5 upon verification of the offer by Mensageiro Cai.
Sustainable Profit
It is anticipated that Project 1.5 can maintain a profit level of at least 10% based on IPO price. This equates to 150,000,000.00 ISK per calendar month. Activities such as mining, courier hauling, NPC trading, Buy / Sell Order fulfilment do not depreciate in value over time to a degree that would endanger the profit guarantee.
Share Value Forecasting
Projected NAV will be published on a 14-day basis, or + of one Cycle. A forecast share price will be published on this day, along with a forecast dividend and buy-back amount, after the 3 month initial period. This information will be provided for indicative purposes only, and should not be acted upon. This information will have no effect on the current buy-back offer.
Methods of Share Trade
There are two well-known stock exchanges in EVE; EGSEx and RESx. I will endeavour to be listed on both exchanges which should ease the process of buying or selling [P15] shares. However, a stack exchange is not the only medium for buying and selling shares. I encourage WTB and WTS posts in the appropriate forums, both CCP-run and not. Private trade is also encouraged. It must be noted that Project 1.5 will not be held responsible for any duping or scamming of Project 1.5 shares that have not been issued or brokered by Mensageiro Cai.

Where Is The ISK Going?
The ISK will be used to purchase a Freighter-class vessel, expand the BPO library, and to provide liquid capital of approximately 500,000,000.00 ISK. This liquid capital will be invested into the following operations:
Mineral Trading between regions;
Module Trading between regions;
Ship Trading between regions;
Freighter Service Provision;
Manufacturing; and
Mining.
Transport Security
A secondary account will act as a scout when piloting the Freighter or when navigating potentially dangerous space. To clarify, the Freighter will not leave high security space, but a Transport class vessel will from time to time leave high security space. A scout will also be used when carrying cargo with considerable value. If required, an Oneiros or Dominix class vessel will be fitted with Remote Armour Repairers and miscellaneous defensive modules to aid in vessel survival. All ships will be insured where possible and financially viable.
Reporting
As well as dividends being paid within 24 hours of a cycle closing, a monthly report will be published within 72 hours of a cycle closing. To create the report I will use a custom Excel spreadsheet which uses data from the API feeds.
The report will contain a summarised expenses and income statement as well as a short statement describing the monthÆs events, and any future plans.

Q. Your previous corporation was called Connect Productions. What happened to this corporation and your last draft IPO?
Connect Productions could have been kept as a name for this project, but I like names of things to mean something. Project 1.5 as a name fitted better with this venture û no other reason. The last IPO had many holes in it û I had planned on providing 100% security via an ISK deposit. I thought this would be pointless, and I was only looking to raise 250 Million ISK. I felt that the previous venture, although popular, would serve no long-term purpose.
Q. So what makes you trustworthy of 1.5 Billion ISK, considering you were looking for less than 20% of this last time?
In reality I will be handling the same amount of ISK as last time û 500 Million. The best part of 1 Billion will be used to purchase a Freighter which will simplify logistics. To offer some level of accountability and trust I am willing to disclose the name of my main to investors, and provide my API key to one trusted individual. This individual will be selected by my shareholders. The API will be useable for a period of 48 hours after which time I will reset it. From the API it will be possible to confirm my character skills, the alternative characters on the account and my current wallet balance.
Q. Okay, so why not just issue a bond for the freighter and raise the 500 Million solo like you were going to do?
I donÆt like bonds. ItÆs as simple as that. I prefer the flexibility and expandability of shares. They can also be managed using all of the in-game tools. I could raise 500 Million, but I want public accountability. I used to follow OÆMaraÆs reports with interest, and would like to follow along those lines.
Q. ôAll ships will be insured where possible and financially viable.ö What?
This means that all ships will be insured off my own back prior to being used by the corporation. To minimise initial capital loss the freighter will also be insured by myself prior to being used for Corp duties. Once these insurance contracts expire, all insurance payments will be made from the corporationÆs funds.
By ôfinancially viableö I mean there is no point insuring some ships in-game. I do not foresee this as a problem with the class of vessels I will be flying though.
Q. No Security?
No. I have no assets to secure this venture against. However, security may be introduced at a future date. This will take the form of ISK, and will secure your initial investment only. There is no date planned as of yet for this addition to the IPO.

I am playing a game. I would like to enjoy myself whilst playing a game that I pay for. All of the activities I have listed I find enjoying, but I lack the capital to do anything significant at this present time. I have seen numerous opportunities that have required a freighter and I have been unable to take advantage of them. Hopefully this will change, and my dedication can make shareholders a profit.

I intend to buy 300 shares for 450 mil. Assuming there are any left, money will be sent when I can get online after the release time...
In the intrests of security and in light of recent scams, I would ask anyone who acually sends money to post here saying how much they sent and when. I know Mensagerio asked for this anyway but just thought I'd re-iterate.
