In my humble opinion, the BEST course of action here is to start a new corporation.
That way you have a 'clean break' with the old members.
As for the 'assets', I think you should LEAVE those there until you can get a response from the current CEO and directors who may simply have RL issues happening at the moment as to what to do with them.
You are unhappy with the current status of things, so it leaves you two or three options: 1) Do nothing! That in and of itself is an option. 40 members is not too much to really deal with, but if you feel like you are doing everything and NOT getting anywhere, then you have to change this. 2) Start your own corporation and take all the assets with you. Call it what you will, but this is theft unless there is a pre-arranged agreement about the disposition of those assets. 3) Start your own corporation and take NOTHING. If the guys really support you, they will all understand about the whys and hows of this and contribute to your new corporate wallet. If they don't feel like doing this, then perhaps you are not leading them correctly. This one is called loyalty and is a tremendous risk. You will think everyone supports you, until you go out on your own and find that what you thought is not the reality of the situation at all.
Now, you have some tough choices to make here. You can't win a Corp vote. 300 vs 400 is just not gonna do it. And I am guessing that the remaining 300 shares are either distributed or in the hands of someone who can vote against you. In order to even suggest a vote, you must own at least 5% of the overall corporate shares. And with 300 you do, assuming only 1,000 are outstanding.
If you wish to discuss this in more detail, you may contact me IN GAME, but please use your main so I know what I am truly dealing with. There may be ramifications you are unaware of... (Outside political movements, etc.) that effect your small, but reasonably sized corporation.
