Hello all.
When I try to kick one of my old members I get a message I cant since he has too many shares. The dude has been inactive too long and I would like to gain my slot back. How do I fix this?

do a "expell member" vote in corporation > politics > tab, and have members who have some shares to votes positive. that should work, if not then you can petition and have his shares removed and kicked.

And if he has too many shares for comfort (for instance, if you pay out dividends), do a vote to create more shares. Then redistribute them to loyal members, or hold them in the corporation.

I would personally lean towards Ledoux's solution, since having a 'buffer' of shares in your Corporation is a must.
From what it sounds like you're saying, some of your Members have enough shares that could seriously hinder your Management (i.e. Vote you out as CEO) and that's never a good thing.
Using a 'real world' example (I know, what does 'real world' mean to EvE?) if a Corporation Member does not retain ownership to more than 51% of their shares, they run the risk of a 'hostile takeover' from other parties, who, if they pooled their shares, could swing votes to their own personal gain.
Protection of the Corporation is paramount, so I definitely recommend re-evaluating your shares!

Votes. That way every member gets a say in it and no one can complain afterwrads that I took a decision that no one agreed upon.

Democratie is nice, but can prevent progress. Since not evrey corp member is capable of seeing the big picture.
I just give my directors a say (in shares), since I need there back-up in our progress.
