Details of IPO
Total Corporate Shares: 1,000 Share Issued in IPO: 488 Shares Held by CEO: 510 Share Held by Third Paties: 2
Initial Market Value of shares issued: 6,250,000ISK Total Value of IPO Issue: 3,050,000,000ISK Minimum buy-in 10 shares (62,500,000ISK)
Reservation period: 22/07/2010 - 25/07/2010 Purchase period: 26/07/2010 - 27/07/2010 First Dividend : 01/08/2010
Business Plan:
Our main revenue streams are from manufacturing, we currently turnover 1,280,000,000ISK with a profit of roughly 300-00M ISK. Secondary revenue streams consist of Lvl 4 missions, station trading and planetary interaction, these activities generate an estimated 50 - 100M ISK a month.
Our cost base consists mainly of purchase of materials for production, with other revenue streams being largely cost neutral in relation to their earnings. We do not have any employees, POS's or other high cost liabilities, and currently have no debt.
Details of locations, products built and trading strategy will remain confidential to protect profit margins.
Dividends:
We plan on paying out 25% of the profits generated by the corp each month to the 488 shares issued in this fund. Dividend will of course fluctuate in value in line with corporation profits, which are in turn affected by market conditions. There will be no upper, or lower limit to dividend payments. This means as corporation profits grow, so will dividend payments.
Dividends will be paid monthly according to the shareholder list in the corp wallet.
Dividends are usualy paid in the first seven days of the month, though we allow up to 14 days to pay dividends.
Audit:
Inititally the fund will not carry out an audit. This is due to the costs involved and our beliefe that our current liquid ISK reserves would best serve the fund and Corporation by being re-invested in our growth.
T's and C's
1. The corporation will not allow share holders to buy back their shares, this is to protect the operational funds of the corporation and thus protect other share holders from profit reductions. 2. Share holders are free to sell their share to other players. The corporation takes no responsibility for this and will not reimburse people for losses in concern to sale of our shares.
There we are, questions below I'll do my best to answer.

I have three initial questions:
How much time do you take to achieve a 1.28 bill turnover?
What do you manufacture, T1 or T2 items?
The 50-100 million isk/month figure, is this per activity, or for a combination of PI, missioning and station trading?

Ah,
I apologise, I didnt quite make that as clear as I should have.
My current figures are:
1.28bn turnover per month, primarily from station trading, and subsidised by mission running and PI, production had untill recently been a secondary revenue stream (while i researched and crunched the relevant numbers, and of course trained the required skills).
With my production lines now moving up to take over the station traing I liquidised my station trading funds to expand the production lines from the lmited research lines I was operating .The production lines will turn out around 1.2 - 1.3 billion in products every month. Speculating on moving all items, which isn't hard I can generate between 300 and 400 million isk profit per month, which also includes the now sidelined lvl 4 missions, pi and station trading.
I will be re-floating my station trading fund with a percentage of the profits that aren't paid in dividends over the next couple of months, at which point it will become a second primary revenue stream. All other proits will go into expanding production.
I currently produce tech 1 items, though I have plans to expand into other tech levels.
Part of the reason I am not being audited at this time is the nature of my production lines, obviously barrier to entry on t1 items is low, and I produce a set of niche items, with high margins. It's not that I dont trust auditors, but I like limiting risks to profitability.
I understand people's reluctance to invest in un-audited funds, but can only say that if you don't cant afford the risk, dont invest.
Also to clarify, the funds from this IPO will be used to expand my production line to include more items and therefore stabilise the income base and provide insurance against market fluctuations.
The funds should increase the profits from production to around 1 billion a month mark, but will take around two months to come online.
This means the first few months will have a lower dividend, but it should climb sharply around the three month mark.
Thats about as much detail as I can really give with out giving "too much".

If turns out to be a scam, other people being scammed with you won't make it less of a scam.

Even if it was not a scam right now, does not mean the person does not run off with the isk in 2 months either......
Investing in something like this, I write off the amount immediately....but going to make it a little harder if it is a scam so that their alt does not post saying they will take the rest of the shares.

This is a strong candidate for a subsidized audit. Please read Estel's link and contact me if you are interested or have any questions.

Edited by: Terbulus on 22/07/2010 19:43:18 if I am understanding your numbers correctly...
you are profiting approx 400 million a month 25% profits will go to the shareholders, so you hand out 100million divided by approx 500 shares
so we get 2million a month if we invest 62 million?

I assume that he assumes that they will earn more if they increase their capital. What I'm not clear on is the current capital base of the business. Turnover doesn't really tell us that.
Also, without an audit to confirm that there is actually a business to invest in I can't see this getting off the ground. The chance of an auditor risking their reputation to steal a market that provides profits of 10mil a day seems minimal. "[L]imiting risks to profitability" is fine but I would guess that not getting an audit and not getting funding will be a greater threat to your prospective profit levels than would be a very small chance of taking a small hit to profits from having one more competitor intrude on your markets.

Audit refusal with a well-crafted and thought out reasonable-sounding excuse.
It's a scam, and there are a lot of things you could do with your money for far less risk and far greater reward.
Never invest in other players. Ever.

Could you please explain why this number is so precise? Do your prices change? This feels like the 'use a more precise number to sound legit' kind of number.

All figures are rounded ball park figures. I expect they will fluctuate with market conditions as does every thing else. I dont see any reason that rounding figures should mean Iam any less trust worthy. I am under no illusions that I infact engender any trust, just as I would be wary of trusting any of you.
The offer is on the table (so to speak), either people will take me up on it or they wont. If not then I will go away, grow the business myself for a while and maybe try again another time. If the fund is not fully reserved by the end of the reservation period it will be withdrawn.

Walk away now.
You stand no chance without an audit, and your excuses for not submitting to an audit are exactly that - excuses.

There's plenty of interest; people are jumping on any half-decent IPO or bond these days. The problem is you didn't care enough to make the offer half-decent.
