ò Chapter 1 - Summary of AmarrÆs W_horehouse ò Chapter 2 - Coporate Governance ò Chapter 3 - The Business Plan ò Chapter 4 - Statement of Assets ò Chapter 5 - Full Disclosure of Risks ò Chapter 6 - Full Disclosure of Main and Alts ò Chapter 7 - Exit Strategy ò Chapter 8 - IPO Phases, Dividends ò Chapter 9 û How to Invest ò Chapter 10 û Conclusion
Chapter 1 - Summary of AmarrÆs W_horehouse Origins
AmarrÆs W_horehouse originally began as a small scale low sec POS fuel delivery service. Shortly after its inception the competition literally put themselves out of business because they 1.) didnÆt put a value on their time and 2.) had free ice blocks because they mined it themselves :P. After the competition left the market, AmarrÆs W_horehouse was able to move into high sec as well as expand low sec delivery services. Since September 2007, we have delivered nearly 147 billion isk worth of POS fuel for over 300 towers to high and low sec customers.
Chapter 2 - Corporate Governance
I retain sole ownership of the corporation throughout the duration of the IPO and as such I will have no less than 51% of the total corporation shares
There is currently one other player that has access to corp wallet divisions, Aleksi Maksimovich, and I have known him for a couple of years now both ingame and out of game. He is also part of my hit by the bus strategy which will be explained later
Chapter 3 - The Business Plan
Now for the good stuff. The primary source of profits is actually quite simple and as risky as any other aspect of Eve. I will use the majority of the funds raised to gamble at the Eve Online HoldÆEm channel. Selene DÆCeleste is the owner/operator of that poker business and can vouch for my success if he wishes.
Furthermore, I will add to those profits by continuing to operate my POS fuel delivery service and my day to day market w_horeing. However, the primary source of profits will be from the poker table.
In short, you are essentially investing in me as a capable isk maker rather than other IPOÆs that have concentrated on one of the more traditional aspects of eve such as trading or manufacturing. For this reason, I reserve the right to modify any part of my business in order to turn a profit.
Chapter 4 - Statement of Assets
My current assets include various faction fitted ships, mining barges, POS modules and towers, a high sec research POS located near Jita, an anshar jump freighter, and various other ships/mods/pos fuel.
I currently have a savings account with Ebank with a balance of just over 3.1 billion isk which I give an Ebank representative permission to confirm this detail. My personal wallet has right around 2 billion isk and my corp wallet right around 4 billion isk. All of the above mentioned funds and assets will not be used for this business venture and will not be used to make dividend payments. They are also not a part of my exit strategy which you will read about later on.
Chapter 5 - Full Disclosure of Risks
The risks of this venture are obvious. I will be for the most part gambling this isk on the Eve Online HoldÆEm poker tables. My other activities will aid I my profit making but the important thing to remember is that you are investing in me. If an aspect of my business does not go as planned, I will modify it accordingly.
In short, yes there is risk but no more than other IPOÆs and considering the reputation I feel I have gained, less risk than most. ...... |

Edited by: Amarr Citizen 155 on 17/04/2008 06:01:01 Chapter 6 - Full Disclosure of Main and Alts
My main character is Amarr Citizen 155 and will act as the ôvoiceö of my corporation and any aspects of my business. I also have the following characters that may or may not be used to turn a profit.
Blackgenius (research alt with mad research skillz) 4names (cyno alt) 5names (cyno alt) Professor Vaportrail (CEO) Blind Bombshell (my Helen Keller wannabe character, not used for much of anything except Jita w_horing)
Chapter 7 - Exit Strategy
My exit strategy is fairly simple. Any assets acquired using the isk raised from this IPO will be liquidated and the funds will be used to buyback shares at 100% of the original value. Should real life kick me in the balls, I will liquidate all the assets associated with this offering and issue one last dividend payment before offering a share buyback at 100% of the original share value.
Should I get hit by a bus while crossing the street to pick up a piece of easy ass, my hit by a bus strategy is slightly more complex than most as my aim is to be able to offer a share buyback even in the afterlife. I have a safety deposit box at a bank in my city (Stillwater National Bank). Inside my safety deposit box I have various personal RL assets and as of this Friday there will be two envelopes. Inside these envelopes are instructions on how to login to my various accounts and who to contact/transfer isk and assets to in order to perform a share buyback/final dividend if possible. I have asked Ricdic to be the party who will receive the isk/assets in order to perform the buy back. I will let him post here to confirm this.
In short, I feel I have covered the exit strategy/hit by a bus strategy.
Chapter 8 - IPO Phases, Dividends
Total Number of Shares 31,000
Shares Allocated for IPO 15,000
Price Per Share 1,000,000
Dividend Schedule Monthly
Projected Return per Dividend Payment(%) 7.0%
Projected Return per Share 70,000
Now to explain the dividend process. I will not be using the in-game system to issue dividends as I hate it and it sucks. Corporation shares will be issued using the in-game interface for the sake of you as investors having shares to hold onto in your wallet and for me to be able to see shareholders in the corp wallet. I will keep a spreadsheet of the share sales which I will keep in my google docs along with my other financial information.
The amount of the dividend will obviously be based on the profits I am able to make during the month. 50% of the profits will be used as my monthly salary while the other 50% will be issued as dividend payments. I feel 7% is a respectable figure for a dividend payment but honestly I shouldnÆt have a problem exceeding that goal.
This has detailed the first phase of the IPO and I am planning on future phases should all go as planned. |

Edited by: Amarr Citizen 155 on 17/04/2008 06:01:59 Chapter 9 û How to Invest
I will be accepting reservations in this thread and only in this thread. Once the total IPO amount has been reserved, any other reservations will be added to extra share reservation list incase we have anyone who backs out. I will then post details on when to transfer isk and to which character to transfer the isk.
**No single individual can purchase more than 50% of the total shares for sale**
Chapter 10 - Conclusion
This is not your ordinary, average, everyday, run of the mill IPO. I have done a couple of different public loan offerings in the past and just closed my most recent loan offering. You can find information about those HERE and HERE. I have been wanting to create my own IPO but have been searching for something different that will bring me a new kind of enjoyment and motivate me to continue to be as creative and diverse in my isk making activities. For me, this is the next step in what I hope is to be many steps to come. If you donÆt like this plan, donÆt invest. ItÆs really as simple as that. And lastly before anyone asks, yes I do have the isk to run this operation now without doing a public offering. However, this is an aspect of Eve that I want to explore further and I feel it will add a new level of play and spark to Eve for me. |

Honestly though, its not a scam.
I did a 3 day trial run and was able to turn a profit of close to 4 billion isk. But by all means, feel free not to invest. As I said originaly, my goal is to try something different.

I have serious reservations about the concept but after the business we've done and chats we've had I trust him with my ISK. Have fun at the poker table and try not to loose all my ISK.

Thanks kwint.
I think I need to explain one aspect of my IPO a bit further. These funds will be used for both the poker table as well as my POS fuel delivery service and other isk making activities. In short, yes I will be gambling but I will also be doing the same activities I have always done to achieve success. Sorry if this was not fully explained. |

Sry but I just don't like the idea of investing in someone to play poker for me, I ccould do that myself just as easily and keep all the winnings rather than just 7%.
I wish you luck with this though. |

I have been playing poker IRL for over 10 years both for fun and in tournaments. Yes it is gambling, and yes that is a risk just as any other plan has its risks. The above figures were provided to give you an idea of the possibilities. |

Presumably you will be playing no limit Texas Hold-Em
What % of the invested capital will you use in any one session?
Do you play at Partypoker, Paradise Poker, or suchlike for real money?
What protection do players get in these isk games from collusion? |

A) He's splitting it 50/50 B) I could buy low/sell high myself for 20% yet I accept only 7% from IPO's that do it for me. The same applies here.

A very valid point. Although, you wuld then have to forfeit some of your time in order to do so on your own and lets face it, not everyone can do this themself. Thanks again for previous funding though. :) |

Great question. I wish I could go into more detail as to what % of the invested capital will be used in one session but then I would have to explain that multiple "sessions" will occur at once much the same way I used to play at partypoker as well as give away details important to the success of the gambling aspect of this IPO. As a rough estimate considering some of the invested isk will be used for my POS fuel delivery service I would say that no more than 50% would be in play at one time but that would be for the most part a very HIGH estimate.
Regarding collusion, check out the thread I have linked to Selene's poker operation. Also, You might visit the Eve Online Hold'Em channel and have a look around or grab Selene to ask any questions related to his poker operations. I feel as secure when I play on his tables as I do when I make a deposit into my Ebank account. |

There is no doubting that your POS delivery business is one of the better executed ones running atm, but taking on an investment into your poker skills is a big risk for you.
If this fails and you lose a lot of money, this IPO fails, and that could prove to be a big hit to your reputation.
I would like to know how you come up with 7% return via poker. Has that been your return playing on this channel. Now I have been playing poker myself for over 10 years at casinos and online, and I do make a profit on a yearly basis, but it is not a straight line average.
If you get very large wins do you intend to share them with the shareholders. You really need to allow Selene to state how much has been transferred to and from your poker account from the past and the future so the shareholders can see how you have and will be doing.

Is there any supported theory or research that the laws of large numbers work in favor of Texas Hold 'em as they do in BlackJack with a well-financed card counting program & betting strategies?
Being a Texas Hold 'em novice if you go "all in" with 4bn in chips, and the other guy at the table only has 1bn, can he meet your bet by going "all in" as well?
