Nabaal Construction and Industrials Corp Public Bond Offering
1. Summary
The Nabaal Construction and Industrials Corp is offering 2bn ISK in bonds to refinance its current liabilities (debts) related to its ongoing business venture. These bonds will be issued through a Dutch auction. Operations will continue as normal, and the only change presented here is that the opportunity to invest is being opened up to the public. What follows is a description of the business, the people involved, and the details of this offering.
2. Corporation Background
The corporation was founded over three years ago and has since participated in a broad variety of activities.
2.1. Governance
I am the Founder and CEO, and kaisair is the sole director and only other member of the corporation. We have previously entertained a small membership, but at present we have no plans to expand our member base beyond the two of us.
Kaisair and I have played online games together in a similar fashion for five years, and we work efficiently together. We each provide full disclosure of our activities to each other, and therefore kaisair is granted full access to the funds, accounting data, et cetera of this venture. His input is invaluable to the success of the corporation. (In fact, the business plan was his idea... minor detail, that. )
2.2. Experience
Two years were spent as a member of the Interstellar Starbase Syndicate, where I served as part of the Management Team. Kaisair assisted me extensively in my efforts while I worked on the team, the largest of which was a mothership production venture, where two ships were constructed before we closed the project. During active production, kaisair and I both had access to nearly 80bn in assets. In addition, to fund this project I took out a 17.2bn ISK loan from ISSO at a 10% monthly interest rate, and this was dutifully repaid.
Prior to this, we ran a starbase network and assisted in developing the business climate around the ISS Providence outposts. Since leaving ISS over two years later, we have launched several small-scale internal projects, including a starbase reaction farm.
3. Business Plan
The corporation produces a single tech-1 product at a very large volume. Our daily production is one-third of the daily sales in The Forge. (Note that we do not actually sell our stock there). This product is used heavily in New Eden for invention. A former alliancemate runs a large invention farm so I sell the corporation's product to him at 5% below Jita price (approx. 240m/month loss on profits), in exchange for a stable buyer and 'free' use of his starbase research facilities.
Margins historically have been high on this product, and I am confident that the market will remain profitable. |

4. Bond Details
There are 200 bonds for 10m ISK each, for a total of 2bn ISK. Interest payments are made every 15 days and there is a maturity of 180 days (6 months). Interest payments begin when all ISK has been received. Bonds will be sold by Dutch auction, where potential investors place bids and compete for the opportunity to invest by offering a lower interest rate. The starting interest rate is 12% monthly, and the minimum interest rate decrement is 0.5%.
Example: Alice bids 12% interest on 150 bonds. Bob then bids 11% on 100 bonds, leaving Alice only able to purchase 100 bonds at 12%. Alice decides to bid 10% on 50 bonds, and the auction ends. Bob can buy 100 bonds with 11% interest, and Alice can buy 100 with 12% and 50 earning 10%. There is no restriction on the number or frequency of bids, nor the number of bonds. The auction begins immediately, and it will end precisely 48 hours after Kazuo Ishiguro posts his audit report. This is to give investors who desire an audit enough time to compete in the bidding. As the auction progresses I will update a listing of the active bids, and when it finishes I will publish a list of the winning bidders.
It is important to note that while interest is paid every 15 days, it is expressed as a monthly rate. The interest paid semiweekly is equal to half of the monthly rate. This is advantageous to you as an investor, because if you reinvest your first payment into a bank or venture, you will achieve a greater monthly rate than you bid on.
These bonds come with a call option. This means that at every fifteen-day interest payment period, the corporation has the option to refund the full value of the bond to the bond holder. Interest will always be paid along with the bond call, and investors will receive a notification of the call order. This does not "cheat" investors out of money; it just lets the corporation pay investors early.
Please do not transfer any ISK until the bidding has finished. If a winning bid does not follow through, I will defer to the reserve list.
5. Disclosure
This section discloses important information about the corporation, its operations, and those involved.
5.1. Assets and Liabilities
Assets owned by the corporation include a Charon freighter (880m), a set of blueprint originals researched in both material and time efficiency (1.6bn), and 1,470,050,447.87 ISK in materials or product which are easily liquidated. The total value of the corporation is estimated at just under 4bn ISK.
Liabilities at the writing of this post include -1,403,549,385.19 ISK in an EBANK loan, -605,474,182.28 ISK ISK in loans from individuals, and -639,606,344.36 ISK in loans issued by kaisair and me. Total external liability is -2,009,023,567.47 ISK at an effective monthly interest rate of 12.41%. Note that the capital raised through this offering goes directly toward paying down these liabilities, and so therefore the overall liability of the corporation remains the same. |

5.2. Characters
The following characters are directly involved:
- Packtu'sa, for production and logistics. This character can pilot a Charon and utilize nine manufacturing slots. This character soon completes Production Efficiency V.
- kaisair, for production and logistics. This character can pilot a Charon and utilize ten manufacturing slots. This character has Production Efficiency V.
- An out-of-corp freighter alt, capable of flying a Charon, which will be used in the event of a war declaration. This alt will remain unnamed, but an audit can verify its existence. (Auditor: it's the big scary Minmatar one.)
There are also two characters training manufacturing skills to afford the corporation additional flexibility and opportunity for expansion in the future. Other characters on these accounts include two cyno alts (unused), a hauling alt (unused), two holding corp CEO alts (these corporations are inactive), and two combat-oriented alts. One of these characters participates in a casual combat organization with no affiliations to any major political groups, and the other remains in the corporation helping me run agent missions.
I would prefer to not disclose the names of these non-involved characters, but if there are issues surrounding their identities, I will reveal them. All of these characters can be monitored through the full access keys held by the auditor. I ultimately have nothing to hide. (Besides, if I were really running some secret operation as Chribba's inside man with GoonSwarm and BoB, don't you think I'd use a separate account for it?)
5.3. Finances
Over the past 27 days of operation, the corporation has expended 2,864,907,830.80 ISK for materials and office/factory fees, and has received 2,586,969,136.54 ISK in sales. In addition, the value of the blueprint originals has increased (through research) by a conservative estimate of 100m ISK. As a working buffer, 1,470,050,447.87 ISK worth of product is currently in production lines. The effective monthly yield thus far is 52.66%, or 48.61% when excluding the appreciation of blueprints.
Prices have fluctuated both favorably and unfavorably for production, but margins have stayed well within a safe range. The selling market has been stable, in large part because of contracted sales. The materials market has been more erratic, but careful purchasing and stockpiling has reduced costs and supply problems.
5.4. Auditing
Kazuo Ishiguro has conducted an audit and will post his findings in this thread. I am open to additional audits if the first one is unsatisfactory, however any additional audit fees must be paid by the person requesting the audit. |

5.5. Risks
As with any investment opportunity offering a return, there are risks involved in this one.
- Hit by a bus. I live in a pretty rural area, but I suppose those bears can be vicious. In the event I disappear, kaisair will take control of the corporation and decide how to proceed. (Am I the only one who finds it intensely depressing to consider what happens in a computer game when I die?)
- It's a scam! :-o This is always possible, but given our history of handling large sums and valuable assets, it is unlikely that we would compromise our name for a relatively small amount of ISK. This offering is just a refinancing; we will not be handling any more money than we did in the first place.
- The plan fails. If the buyer cancels the contract and prices simultaneously become prohibitive, the corporation will not have enough income to cover interest payments. However, this would require a drop in profits of over 82%, and the already corporation's assets are almost double its liabilities. In the event of a business failure, these assets will be liquidated to cover all debts including interest.
- Loss of assets. This is the risk that, despite our best efforts, assets are lost. The likely scenario for this is the loss of a transport vessel and the cargo within. We minimize this risk by strictly using Tech-2 transport ships or freighters, and no cargo run is ever made which presents a viable opportunity for a suicide attacker. Blueprints, being among the most valuable of the corporation's assets, are only moved with the greatest cautionary steps taken. Note that all corporation business takes place in high-security space with a security status of 0.7 or greater.
- We get bored. If EVE no longer interests us and we decide to quit, we will liquidate our assets to pay bond holders. If we're really impatient to get out of the game, assets will be handed over to a trusted third party to liquidate and distribute among investors.

6. FAQ
- Why are you doing this? I am fascinated by how developed the investment market has become in New Eden, and I am eager to participate in it. I suppose the answer to this question can be summed up as money, money, and money... and some other things too, but that sounds catchy. Money because this will afford the corporation lower interest rates in line with similar offerings, money because this will free up an existing credit line with EBANK, and money because the success of this offering will hopefully inspire investor trust in the future.
- Can you offer security? Because all of the corporation's assets must be mobile, I cannot lockdown the blueprint originals, so holding the corp shares is not a particularly viable security. However, I am willing to give 100% of the corp shares to EBANK for holding if this is still desired. I cannot provide any assets as security.
- Why don't you use your personal or corporate funds, or accept private investment from friends? I have. The venture was started by pooling all available funds from both the corporate wallet and also our personal wallets, and soon after I allowed several friends to invest in the venture. However, the goal of this offering is to lower interest rates, and as stated in the answer to question number one, I have aspirations beyond private investment offerings.
- Will Serenity Steele or Stins vouch for you as regards the ISSO loan? Stins was the financial manager at the time, and he approved the loan. I have not asked him to vouch for me, however he certainly may do so if he wishes. A defaulted loan of 17.2bn ISK likely would have created quite a splash, so in my own estimation the silence speaks for me.
- Will anybody else vouch for you? They have offered, but it's really up to them if they want to post here or not.
- Why did you get into this mess of high interest rates in the first place? I had originally planned to offer 20% interest when the venture was launched, but I was introduced to EBANK and offered a lower rate for part of the capital to be raised. After considerable research in this forum, I am confident that the current rates I am paying are 'too' high.
- What if your friend cancels your contract? This is fairly unlikely, since he enjoys the benefit of a significant discount. In the event that contracted sales are no longer available, it is entirely possible that the open market has capacity for our production; however, we will heavily weigh this option against liquidation of the company if this happens.
- Are these bonds transferable? I agree to broker bond transfers between two individuals. I cannot guarentee the transfer of bonds unless I broker it.
- Is there a way for investors to sell back prematurely? Not presently, but I will consider put options for the future. If you would like priority for a call order, contact me. (Note that high-interest bonds have priority for call orders, but lower-rate bonds can be called for an appropriate premium paid by the bond holder.)

I have updated section 4 with the Dutch auction rules. Previously, they incorrectly reflected how Dutch auctions work; the example has been updated as follows.

I can also confirm that the corporation has, some time ago, produced at least one mothership, so I rate them as capable industrialists.

How much actual profit did you make in your previous ventures? (I know the answer to this one, I'd like to hear it from you though) What is your average percentage growth month on month? What is the forecast growth over the next 6 and 12 months?

The objective of the mothership program was to arm ISS and its military allies, so these ships were produced at minimal profit. (That is, enough to pay interest on the loan, pay supercapital-specific taxes to ISS and BoB, etc.)
Profits from moon mining were low (approx. 400m/mo., Dysprosium wasn't great at the time) and went toward financing the reaction farm. This 'farm' was a single-tower operation, close to Jita and configured for flexibility. I researched the trends of the products and regularly changed the reactions running in the tower to maximize profit potential. Reactions were much more viable at the time, and after fuel costs our average return was 800m/mo. We avoided the high-end reactions because their volatility was unappealing.

'Growth' during this time could be considered zero, but that's hardly a worthwhile measure.

Since I expect this venture to reduce all of its liabilities in a much shorter time frame, I honestly cannot say. I have other industrial aspirations, but until other things (characters training, et cetera) fall into place, I will not launch those as ventures.

Well, it would be a legitimate concern if I were offering stock or variable-rate bonds, but these are just fixed-rate bonds.
In any event, if I knew what profits would be like in 6 to 12 months, I'd say so, but I simply can't make that kind of projection. This offering at a maximum extends to six months from now, so I don't think it's relevant anyway.

I agree, cosmo. I am looking to bring further opportunities to MD, but I can only work with so much ISK at once since I absolutely refuse to go into trading for the moment.

Funds have been received and the status page has been updated. Because payment has been made for 197 out of 200 bonds, I am declaring all bonds as having been issued on 2008.08.07 GMT. Transfer for the 3 bonds available for shadowfox hunter must be completed by 2008.08.08 00:00 GMT or those bonds will be retracted.
Please note that bonds are virtualized, and therefore they have no in-game representation. However, I will inform all bond holders via EVE-Mail of any changes to their bond holdings in addition to an update in this thread, and all bond holders are entitled to receive on-demand updates from the corporation.
Thank you again to everyone for bidding, thank you to the bond holders for your investment, and a big thank you to Kazuo Ishiguro for performing a security audit. 
And now, at this point I am reminding everybody that this thread is posted in the forum titled "Market Discussions", and that therefore this thread should be full of flaming and accusations that I am a scammer. What happened guys?

I'm still here, and payments have been going out. I do not make regular reports to bond holders because investors do not actually own a part of the corporation; instead, they own a debt security. However, I am willing to answer any questions you have.

I have exercised the call option for all remaining bonds, and today the principal was returned along with the final interest payment. The status page has been updated to reflect this.

Great job, Packtu'sa. I can confirm that I have received all interest and now had the principal returned.
This bond hasn't been very visible - mainly because it has run so smoothly. I think it is important that Packtu'sa get the credit he deserves for a well run operation.
