This is part 2 of the discussion for the SHSG manufacturing IPO. Below you will find a rough draft of what we plan to do and offer in this IPO. There is room for adjustments and nothing is set in stone, these are idea's and a work in progress. Please use a bit of humor when reading. SHSG Manufacturing IPO (not a final name) ò Chapter 1 - Say What? ò Chapter 2 - Lil more info please ! ò Chapter 3 - Got Milk? ò Chapter 4 - Getting Paid! ò Chapter 5 - Who runs this circus? ò Chapter 6 - Wearing Protection! ò Chapter 7 - Taking our ball and going home. ò Chapter 8 - Show Me the Money! ò Chapter 9 - Other things you want to know. ò Chapter 1 - Say What? Hello All My name is Stealing Honest, and i am here to pitch a new offering. This IPO is small scale, with a very low purchase point for investors. It does not pretend to offer huge profits, nor does it over extend itself and take in great debt. We think this is a balanced, lower risk offering, but that's really up to you the investor to decide. This is a start-up business. Please keep that in mind. We are offering investors ground floor investments and a chance to grow with us. This is not a get rich quick offering. We will not blow smoke up your ass and say you will see double digit gains, because you won't. What you will see however is an honest starting point, and managed growth over time. That is what we offer to you the investor and to ourselves as operators. ò Chapter 2 - Lil more info please ! The funds from this IPO will be used to supply mineral stock for manufacturing. SHSG does not have a great deal of experience in mass production, therefor we are starting small with the goal of slow growth as our logistics improve. We will start with a few productions of manufacturing and feeling out the markets, while fine tuning our operations. Most of the items manufactured will be basic ships. We will be using centralized assembly, supported by selected trade, opportunity costs, and some light investing to earn profits. We feel this is a balanced method and will yield results and steady profits over time. ò Chapter 3 - Got Milk? SHSG will inject in stages capital assets in the form of BPO's for this IPO. Asset injection will be ramped up as we expand. We will strive to maintain 75% assets to debt ratio during the life of this IPO. For every 4 Isk of debt we will have 3 isk of assets. These assets will be used to hedge against default, failure, or bankruptcy. ò Chapter 4 - Getting Paid! Shares for this IPO will be released from an SPV (this part im still working out). The SPV will issue funding to SHSG in the form of a flexible bond, in return for 50% of net manufacturing profit. The SPV will then payout 100% of all profits received monthly as dividends to shareholders. There are 4000 shares open to the public at the beginning of this offering. Additional shares will be released to the public if / when needed for expansion.

This is a known alt of Stealing Honest, CEO of SHSG. There will be no other characters in the SPV. ò Chapter 6 - Wearing Protection! As with all investments there is a base level of risk. We do assert that we will not give you a sexually transmitted disease, and will not engage in rear action shenanigans with our investors. SHSG has a history of doing what it says, and meeting its obligations on time, every time. We will continue to follow these standards. ò Chapter 7 - Taking our ball and going home. Investors are free to sell/trade SH4U shares on the open market if they wish. In the case that we decide to end this IPO, SHSG will pay repay the bond + final months profits to the SPV. All BPO's will be retained by SHSG. Lastly all manufactured assets + minerals + remaining stock associated with this IPO will be sold, and 50% of the remaining Isk will be sent to the SPV to be paid out as a div final bonus to shareholders. The SPV will offer early buy back of shares for 90% release value. 30 days notice will be required for early buyback, but the SPV will try to process buybacks as soon as possible. Any shares sold back early to the SPV will forfeit the month ending Div payment. The SPV reserves the right to limit early buy backs to 20% of outstanding shares per 30 day period. ò Chapter 8 - Show Me the Money! Public Shares Available: 4000 at launch Price Per Share: 1,000,000 Dividend Schedule: Monthly Estimated Dividend: 150,000,000+ Projected Return per Div Payment: 1.5%+ Projected Return per share: 15,000+ As you can see the projection for returns are low for the first month. That is on purpose because this is a start up business. This is one of the reasons the shares are priced for low entry. We fully expect returns to be much higher over time, but we cannot in good faith quote higher returns for the opening month. Our goal is in the 3% to 5% range once we have all stages in place. ò Chapter 9 - Other things you want to know. Q: How do I know this isn't a scam? A: We at SHSG have run many successful bonds, and a previous successful IPO. This IPO, just like all of our previous offerings focus on real profits and lower risk for SHSG and our investors. The same standards will be used to run this offering. Q: How do you know you'll be successful? A: One of the reasons we are starting small, and going in stages is to make sure we have sustainable profits. We believe that once we smooth out our logistics and get our flow track in order, we will be successful. We also believe this is a natural expansion for SHSG to use the BPO's collected over the last months. Q: Why are you doing this? A: We felt an IPO would meet our long term goals for manufacturing better than having to renew regular bonds. Q: Will you ever buy back shares? A: See chapter 7. Q: Will you ever pay over 1.5% dividends? A:This is just a starting projection number. 100% of profit after fee's will be paid out as Div's to share holders each month. It is important that we set realistic goals and meet them in stages as we improve over time. It would be foolish of us to offer massive returns at the beginning of this offering. So that's why i added selected trade and light investment into our plan. My light investment will allow a good buy in point for base mineral stock, but i wont blink an eye about selling the minerals for profit and skip a round of building if a sell location warrants it. That's where the light trade come in. My plan is manufacturing, but my overall goal is profit for our investors and SHSG. Hey Raw23, good questions. 1) Yes this is my only unsecured debt. 2) Give me a few minutes to look over my past bonds, and ipo and get a number for you. 3) Yes, hard cap is 20b. This is the amount that can be covered by current BPOs @ npc value, though they have all been researched.. This was the amount i had set as the cap during my discussion phases. 4) I am always open to my investors concerns. I am always open to talk, and adjust if needed. Ill work on #3, and have your answer shortly. SH

The 1st phase was a test period, and as logistics and assets became ready we would ramp up to full operation. I expect this was covered in the discussion phase but my connection is playing up and I'm finding evesearch a bit tricky to use. Raw23 At the moment they the funds are being raised for materials, and trades that are part of manufacturing. The nudging up part is a very good point. At the moment i have the ability to cover well over the 75% min asset to debt ration i promised, im around 100% atm even with the expansion. I see now also that i will be at or above 100% even when 20b cap is reached. A nudge forward was not in my original plan. I would not feel comfortable nudging forward unless i can keep my 75% asset to debt ratio, and would prefer closer to 100%. I would probably need an investor vote, or at least let them sell out before offering a cap advance, but I'm not planning a nudge at this time.

I agree with Raw23, perhaps your investors are better informed than me Ok i understand now, you have tested the waters of your business with a small portion phase 1 & now are ready to go "all in" with it, as the numbers/margins your business is creating is meeting your expectations. As for the 'casual' thing its simply my interpretation of you wording, i suspect information im not privy to was given to investors/scc-/signitures channel at the beginning of your phase 2 expansion. KZBA had no function anymore, after the shares had been switched over to SH4U. All shares holders have the SH4U shares and have been paid monthly divs for the last 2 periods under the new system. That freed me up to run the new bank. Zia/SH
